Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Izow, LLC ("izow," "we," "us," or "our"). By creating an account or using izow's websites, applications, or related services (the "Service"), you agree to these Terms.

Eligibility and Authority

You must be at least 18 years old and legally able to enter into a binding contract to use the Service.

If you use izow on behalf of a business or organization, you represent and warrant that you have authority to bind that entity to these Terms.

Accounts

You must provide accurate account information, maintain the security of your login credentials, and promptly notify us of any suspected unauthorized access to your account.

You are responsible for all activity under your account except to the extent caused by izow's breach of these Terms.

The Service

izow provides software tools for managing students, lessons, schedules, packages, notes, payment records, and related coaching operations.

We may add, modify, suspend, or discontinue features from time to time in order to improve the Service, comply with legal requirements, maintain security, or address operational needs. We will use reasonable efforts to provide advance notice when changes materially reduce paid functionality.

We may periodically perform maintenance that temporarily affects the availability of the Service.

izow does not provide coaching, medical, legal, tax, accounting, or financial advice.

izow does not guarantee increased revenue, business growth, customer acquisition, scheduling accuracy, payment collection, or business success.

Coach Responsibilities

You are solely responsible for:

  • The coaching services you provide
  • Your lesson schedules
  • Pricing and refunds
  • Communications with students
  • Tax reporting and legal compliance
  • Your relationships with students

You must:

  • Comply with all applicable laws.
  • Obtain any permissions or consent required before entering student information, including information relating to minors.
  • Maintain accurate records and independently verify important scheduling, balances, and payment information.
  • Avoid uploading unlawful content or unnecessary highly sensitive personal information.

Student Payments and Stripe

Coaches may connect a Stripe account and send payment links through the Service.

The coach, not izow, is the merchant providing coaching services. Transactions occur between the coach and the coach's customer.

Stripe processes online payments under its own agreements, fees, and policies.

The coach is solely responsible for refunds, disputes, chargebacks, taxes, and legal compliance relating to coaching transactions.

izow may also allow coaches to record payments received outside Stripe. Those entries are provided solely for recordkeeping purposes and do not verify that payment has occurred.

Plans and Subscription Billing

izow may offer free and paid subscription plans.

Pricing, features, billing periods, renewal terms, and any applicable trial periods will be presented before purchase.

Unless otherwise stated, subscriptions automatically renew until canceled.

Cancellation prevents future renewals but generally does not refund the current billing period unless required by law or expressly stated otherwise.

Purchases made through the Apple App Store are also governed by Apple's billing and cancellation policies.

Acceptable Use

You may not:

  • Use the Service unlawfully, fraudulently, or in a way that violates another person's rights.
  • Access another user's account or information without authorization.
  • Interfere with, overload, reverse engineer, probe, or attempt to circumvent security or usage limitations of the Service, except where prohibited by applicable law.
  • Upload malware or use the Service to send spam, harassment, or abusive communications.
  • Resell, sublicense, or commercially exploit the Service without our prior written permission.
  • Use the Service where prohibited by applicable law or export-control regulations.

Your Content

You retain ownership of the information and content you submit through the Service.

You are solely responsible for ensuring your content is accurate, lawful, and that you have the necessary rights to use and submit it.

You grant izow a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, back up, and display your content solely as reasonably necessary to operate, maintain, secure, and improve the Service.

Artificial Intelligence Features

If the Service includes AI-generated suggestions, summaries, or other AI-powered features, those outputs are provided for informational purposes only.

You are responsible for reviewing and verifying any AI-generated content before relying on it or sharing it with students.

Beta Features

From time to time, we may offer preview, beta, or experimental features.

These features are provided "as is," may change or be discontinued at any time, and may contain errors or operate differently from final releases.

Third-Party Services

The Service relies on third-party providers, including Supabase, Vercel, Stripe, and other vendors that help us operate the Service.

Those providers have their own terms and privacy policies, which may apply separately.

izow is not responsible for services provided by third parties outside our reasonable control.

Your Data

Subject to applicable law and technical limitations, you may request deletion of your account and associated information.

Certain records may be retained where required or permitted for legal, accounting, tax, security, fraud prevention, or dispute-resolution purposes.

Suspension and Termination

You may stop using the Service at any time.

We may suspend or terminate your access if you materially violate these Terms, fail to pay required fees, create security risks, engage in unlawful activity, or otherwise threaten the integrity or operation of the Service.

Where reasonably practical, we will provide notice and an opportunity to cure before terminating your account.

Any provisions that by their nature should survive termination will remain in effect.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." IZOW, LLC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IZOW, LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST REVENUE, OR LOSS OF GOODWILL.

OUR TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID IZOW, LLC DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply only to the extent permitted by applicable law.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Izow, LLC and its affiliates from claims, losses, liabilities, damages, and expenses arising from:

  • Your coaching services
  • Your student relationships
  • Information you submit
  • Your violation of applicable law
  • Your breach of these Terms

Force Majeure

izow will not be liable for delays or failures resulting from causes beyond our reasonable control, including natural disasters, internet outages, power failures, labor disputes, governmental actions, cyberattacks, or failures of third-party service providers.

Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law principles.

Any dispute not resolved informally shall be brought in a state or federal court located in Virginia, and each party consents to the jurisdiction of those courts.

Nothing in these Terms limits either party's right to seek appropriate injunctive or equitable relief.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment

You may not assign these Terms without our prior written consent.

izow may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, or sale of assets.

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms that apply to specific features of the Service, constitute the entire agreement between you and izow regarding the Service.

Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may provide additional notice where appropriate.

The updated Terms will include a revised Effective Date.

Your continued use of the Service after revised Terms become effective constitutes acceptance of those Terms to the extent permitted by law.
